Terms of Service

These Terms of Service (the “Terms”) are the agreement between you and STA.SH Jakub Wilk, a sole proprietorship registered in Poland (“Elumre”, “we”, “us”), for using Elumre. By creating an account or using the service, you agree to these Terms. If you use Elumre for a company or another organization, you confirm you are authorized to accept these Terms on its behalf — “you” then includes that organization.

Like our Privacy Policy, these Terms are written in plain language on purpose. If anything is unclear, write to us at hello@elumre.com.

What Elumre is and what these Terms cover

Elumre is an estimation and proposal tool for software teams: you build estimates from your own rate cards, share them as interactive proposal pages your clients can explore and accept, and can let AI agents build estimates through our MCP API.

“Elumre” or the “service” in these Terms means:

  • the elumre.com website and documentation,
  • the Elumre application at app.elumre.com and its API at api.elumre.com, including access by AI agents over MCP,
  • public proposal pages shared through Elumre,
  • emails we send as part of the service.

Three more documents form part of our agreement: the Privacy Policy, the Cookie Policy, and — when your team processes its clients’ personal data through Elumre — the Data Processing Agreement.

All you need to use Elumre is a current web browser with JavaScript and cookies enabled, and an internet connection.

Your account

You create an account with your name, email address and a password, or by signing in with Google. Keep your sign-in credentials secret and your account information accurate.

An account is personal — don’t share your credentials; on the Team plan, every member has their own seat. Everything done through your account, including by AI agents you have authorized, counts as done by you. If you suspect someone else has access to your account, tell us right away at hello@elumre.com.

You must be at least 16 years old to use Elumre.

Teams

Estimates live in teams. A team’s admins control the workspace: members, roles and invitations, billing, branding and the team’s content — including the ability to remove members. When you join someone’s team, what you create there stays with the team, and its admins decide what happens to it.

If you invite people to a team or bring your clients’ data into it, you are responsible for being allowed to do so.

Your content

Everything you put into Elumre — estimates, rate cards, comments, logos, attachments — remains yours. We claim no ownership of it.

You grant us the license needed to run the service: to host, store, process, display and transmit your content, including showing proposals to the people you share them with and sending the emails you trigger. This license is limited to operating and safeguarding the service, and it ends when your content is deleted, subject to the backup windows in the Privacy Policy.

You are responsible for your content: that you have the necessary rights to it and that it is lawful. Do not submit special-category personal data (Article 9 GDPR) through Elumre.

Backups exist for disaster recovery, not as an archive — you can export your content through the application and the API at any time, and should do so before deleting things.

Public proposals

When you share a proposal, anyone with the link — plus the access key, if you set one — can view it without an Elumre account. You decide what gets published and who receives the link.

The proposal — its scope, pricing, wording and promises — is yours. If your client accepts it, the resulting contract is between you and your client: Elumre is not a party to it and does not guarantee that the client will pay or that the project will succeed. The acceptance record we store (what was selected, what was accepted and when) is evidence we keep for you — it is not a qualified electronic signature.

AI agents and the API

You can authorize AI agents to build estimates in your account over MCP. Anything an agent does within that authorization is your action — review what your agents produce before sending it to a client, and revoke access you no longer need.

Automated access follows the same rules as manual use, plus rate limits; the Free plan additionally caps MCP calls per day. Don’t use the API to circumvent plan limits or to overload the service.

Plans, billing and payment

Elumre comes as a Free plan with usage caps and paid Solo and Team plans; current features, limits and prices are on the pricing page. The Team plan is billed per seat, with a minimum of two seats — a seat is taken by each member and each pending invitation.

Paid plans are sold through Polar, our merchant of record: the purchase itself is made from Polar, which charges you, issues the invoice and handles applicable tax under its own terms. Refunds for purchases are handled with Polar, subject to its refund policy and your statutory rights.

Renewal and cancellation. Subscriptions renew automatically each billing period until cancelled. You can cancel at any time in the application or through the Polar customer portal; cancellation takes effect at the end of the period already paid for, and you keep the paid features until then. Except where the law or Polar’s refund policy provides otherwise, partial periods are not refunded.

When a subscription ends — by cancellation or non-payment — your team moves to the Free plan: your content stays and remains exportable, but Free limits apply to creating anything new, and paid features switch off.

Price changes. We may change prices with at least 30 days’ notice; a new price applies no earlier than your next billing period after the notice. If you don’t agree with it, cancel before it takes effect.

Buying as a consumer. Elumre is built for professional use, but if you purchase as a consumer, nothing in these Terms limits your statutory rights — including any 14-day right of withdrawal for consumers in the EU, which you exercise with Polar as the seller. Where you ask for the service to start immediately, the statutory rules on early performance of digital services apply.

Fair and acceptable use

When using Elumre, you must not:

  • break the law or use the service for illegal ends,
  • infringe others’ rights — for example by uploading content you have no right to use,
  • upload malware or anything designed to harm,
  • probe or break authentication and security, or try to access other teams’ data — report vulnerabilities to hello@elumre.com instead,
  • disrupt or overload the service, or scrape it wholesale,
  • send spam or misleading proposals — proposal links and emails must go to people who have a reason to receive them,
  • resell Elumre itself or present it as your own service (white-labelling your proposals on a paid plan is exactly what that feature is for),
  • circumvent plan limits or seat counting, for example by sharing one account.

We may remove content or suspend access that violates these rules — see Termination.

Our intellectual property

The service — its software, design and the Elumre brand — belongs to us and our licensors. These Terms give you a limited, non-exclusive, non-transferable right to use the service while our agreement lasts; they transfer none of our intellectual property to you. If you send us feedback or suggestions, we may use them freely and without obligation.

Availability and changes to the service

We aim to keep Elumre fast and available around the clock, but a self-serve subscription does not include a guaranteed uptime level, and short maintenance windows happen. The product keeps evolving; features may change. If we ever remove a material feature of a paid plan, we will tell you at least 30 days in advance. Features marked as beta are provided as-is and may change or disappear without that notice.

Termination

By you. You can stop using Elumre and delete your team and account at any time in the application, or by writing to hello@elumre.com. Unlike cancelling a subscription, deletion takes effect immediately: the team or account is gone at once, any paid subscription tied to it is canceled at that moment, and the remainder of the billing period is not refunded — subject to Polar’s refund policy and your statutory rights.

By us. We may suspend or terminate your access if you materially breach these Terms, if your use creates a security or legal risk for us or for others, or if the law requires it. Where reasonable, we warn you first and give you a chance to fix the problem. We may also close Free accounts that have been inactive for over 12 months, with at least 30 days’ notice by email.

After termination, your content is deleted on the schedule described in the Privacy Policy — export what you need first. Provisions that by their nature should survive — content ownership, liability, governing law — survive.

Complaints

If something went wrong — with the service, billing or how we handled a request — email hello@elumre.com with your account email and a description of the issue. We respond to complaints within 14 days.

Disclaimers

Elumre is provided “as is” and “as available”, without warranties beyond those the law requires. In particular:

  • Elumre calculates totals from the rates and quantities you enter. Your estimates, prices and proposals are your professional judgment — we do not check them for commercial soundness and are not responsible for the outcome of your bids, projects or client relationships.
  • We do not warrant that the service will be uninterrupted or error-free, or that the third-party services we depend on — hosting, email delivery, payments, sign-in with Google — never fail.

Liability

To the extent the law allows liability to be limited:

  • Neither side is liable for indirect or consequential damage — lost profits, lost business, or lost data beyond our backup obligations.
  • Our total liability for all claims connected to the service is capped at the amount you paid for Elumre (through Polar) in the 12 months before the event giving rise to the claim — or EUR 100 if you paid nothing.

These limits do not apply to damage caused intentionally, or wherever the law does not allow liability to be limited — and they never restrict the rights you have as a consumer.

Indemnity

If you use Elumre in the course of business and a third party brings a claim against us because of your content, your proposals or your breach of these Terms, you will cover the damages and reasonable costs we incur — provided we notify you of the claim promptly and let you lead its defense.

Governing law and disputes

These Terms are governed by Polish law. If we ever disagree, talk to us first — most issues get fixed faster over email than through any formal process.

For business users, the courts competent for our registered seat have jurisdiction. If you use Elumre as a consumer, this choice of law and forum does not deprive you of the protection of the mandatory rules — including jurisdiction rules — of the country where you live.

Changes to these Terms

We may update these Terms when there is a good reason to: a change in law or its interpretation, new, changed or retired features of the service, changes to our providers, plans or pricing structure, security or abuse-prevention needs, or clearer wording. The current version always lives at this address, with the date at the top.

For material changes we give at least 14 days’ notice by email or in the application before they take effect, and changes never apply retroactively. If you don’t agree with a change, stop using the service — and for paid plans, cancel — before it takes effect; continuing to use Elumre after that date means you accept the updated Terms.

Miscellaneous

  • These Terms, the documents they reference and your plan order form the entire agreement between us about Elumre.
  • If a provision turns out to be invalid, the rest stays in force. Not enforcing a provision is not a waiver of it.
  • You may not transfer this agreement without our consent; we may transfer it as part of a merger, acquisition or sale of Elumre, and will notify you if that happens.
  • Neither side is responsible for failures caused by events beyond its reasonable control.
  • If we publish translations of these Terms, the English version governs.
